Terms & Conditions

Last updated: September 2026

These Terms & Conditions apply to services provided by STRUCTR. and form part of agreements entered into between STRUCTR. and its clients, unless otherwise agreed in writing.

1. Definitions

STRUCTR. means the legal entity operating under the STRUCTR. name and providing the services described in these Terms & Conditions.

Client means any person or legal entity entering into an agreement with STRUCTR.

Services means all services performed by or on behalf of STRUCTR., including event production, technical production, site production, overhead production, crew coordination, design, drawings, consultancy, project management and production back office services.

Project means the event, production or assignment for which STRUCTR. provides Services.

2. Applicability

These Terms & Conditions apply to all quotations, proposals, assignments, agreements and Services provided by STRUCTR., unless explicitly agreed otherwise in writing.

Any terms and conditions of the Client are excluded unless STRUCTR. explicitly accepts them in writing.

If any provision of these Terms & Conditions is invalid or unenforceable, the remaining provisions remain in force.

3. Quotations and agreements

Unless stated otherwise, quotations and proposals from STRUCTR. are non-binding and valid for the period specified in the quotation or proposal.

An agreement is established when the Client accepts a quotation or proposal, confirms an assignment in writing or otherwise instructs STRUCTR. to commence the Services.

The scope, planning and price of a Project are determined by the relevant quotation, proposal or written agreement.

4. Changes and additional work

Events and productions may change during preparation or execution. Work or costs outside the agreed scope may be treated as additional work.

STRUCTR. may charge additional work based on the applicable hourly rate, day rate, supplier cost or another reasonable rate communicated to the Client.

Where reasonably possible, STRUCTR. will inform the Client before substantial additional costs are incurred.

Urgent operational or safety-related decisions during a production may be made without prior approval where waiting for approval could reasonably jeopardise the production, schedule, people, property or safety.

5. Client responsibilities

The Client must provide STRUCTR. with all information, decisions, approvals and access reasonably necessary to perform the Services.

The Client is responsible for ensuring that information supplied to STRUCTR. is accurate and complete.

Delays or additional costs resulting from late, incomplete or incorrect information may be charged to the Client.

6. Third parties and suppliers

STRUCTR. may engage third parties, freelancers, crew members, suppliers and specialist contractors where reasonably necessary for a Project.

STRUCTR. is entitled to rely on the professional expertise and information provided by suppliers and contractors.

Costs associated with external suppliers may be included in the Project budget, invoiced separately or passed on to the Client as agreed.

7. Planning and schedules

Production schedules and delivery dates are based on the information available when they are prepared. STRUCTR. will make reasonable efforts to meet agreed schedules.

Changes caused by the Client, venue, suppliers, authorities, weather, technical circumstances or other factors outside STRUCTR.'s reasonable control may result in adjustments to the schedule and additional costs.

8. Safety

Safety takes priority during all productions.

STRUCTR. may suspend, modify or stop activities where STRUCTR. reasonably considers continuation unsafe or contrary to applicable regulations, permits, venue requirements or instructions from competent authorities.

Additional costs resulting from such measures may be charged to the Client where the underlying circumstances are not attributable to STRUCTR.

All parties working on a Project are expected to comply with applicable safety regulations, site rules and reasonable safety instructions.

9. Permits and approvals

Responsibility for obtaining permits, exemptions, licences, inspections or other approvals will be determined in the quotation or Project agreement.

Where STRUCTR. assists with an application, STRUCTR. cannot guarantee approval by authorities or third parties.

10. Cancellation by the Client

A Client may cancel a Project in writing.

Unless different cancellation arrangements have been agreed, STRUCTR. is entitled to charge for Services already performed, costs and commitments already incurred, non-refundable supplier costs and reasonable costs relating to production capacity reserved specifically for the Project.

Any specific cancellation schedule stated in a quotation or Project agreement takes precedence over this provision.

11. Postponement

If a Project is postponed, STRUCTR. will reasonably attempt to transfer existing bookings, suppliers and production arrangements to the new date.

STRUCTR. cannot guarantee the availability of the same personnel, suppliers, equipment or rates for a replacement date.

Costs caused by postponement may be charged to the Client.

12. Force majeure

Neither party is liable for failure to perform an obligation where performance is prevented by circumstances reasonably beyond its control.

Such circumstances may include extreme weather, fire, flooding, government measures, public disorder, infrastructure failure, widespread power or communications failure, transport disruption, strikes, epidemics or other extraordinary circumstances.

Where possible, STRUCTR. and the Client will consult about reasonable alternatives, postponement or modification of the Project.

Costs already incurred and Services already performed remain payable unless otherwise agreed.

13. Prices

Unless explicitly stated otherwise, all prices are exclusive of VAT and other applicable taxes.

Additional costs such as travel, accommodation, parking, permits, transport, catering, specialist services or supplier costs may be charged separately where applicable.

14. Payment

Invoices must be paid within the payment term stated on the invoice. Where no payment term is stated, a payment term of 14 days applies.

STRUCTR. may require deposits, advance payments or staged payments before or during a Project.

If payment is overdue, STRUCTR. may suspend further Services after giving reasonable notice, without prejudice to its other rights.

Statutory interest and reasonable collection costs may be charged where permitted by law.

15. Intellectual property

Unless explicitly agreed otherwise, intellectual property rights in concepts, designs, technical drawings, production drawings, plans, documents, calculations, templates and other materials created by STRUCTR. remain with STRUCTR.

The Client receives the right to use final materials for the Project for which they were created.

Materials may not be reproduced, modified, commercially reused or transferred to another party for a different project without prior written permission from STRUCTR., unless otherwise agreed.

16. Client materials

The Client is responsible for ensuring that materials, logos, designs, drawings, images and other content supplied to STRUCTR. may lawfully be used for the Project.

The Client is responsible for claims resulting from materials supplied by the Client, except where STRUCTR. knew or reasonably should have known that their use was unlawful.

17. Liability

STRUCTR. is responsible for direct damage caused by an attributable failure in the performance of its obligations, subject to applicable law and the limitations agreed between the parties.

STRUCTR. is not liable for indirect or consequential losses such as loss of profit, loss of turnover, loss of opportunity or reputational damage, except where such exclusion is not permitted by law.

Unless mandatory law provides otherwise, STRUCTR.'s total liability in connection with a Project is limited to the amount paid under STRUCTR.'s applicable liability insurance for the relevant claim, increased by any applicable deductible.

If no insurance payment is made, liability will be limited to the amount invoiced by STRUCTR. for the part of the Project directly related to the claim, unless such limitation is not permitted by law.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.

18. Equipment and property

Where equipment or materials owned, rented or managed by STRUCTR. are made available to the Client or parties under the Client's responsibility, they must be handled with reasonable care.

Damage, loss or theft caused by misuse, negligence or failure to follow instructions may be charged to the Client where legally permissible.

19. Complaints

Any complaint regarding the Services should be reported to STRUCTR. as soon as reasonably possible after the issue becomes known.

STRUCTR. and the Client will first attempt to resolve complaints through consultation.

20. Confidentiality

STRUCTR. and the Client will treat confidential business and Project information received from the other party as confidential.

This obligation does not apply to information that is publicly available, was lawfully obtained from another source or must be disclosed by law or a competent authority.

21. Portfolio and publicity

Unless otherwise agreed, STRUCTR. may identify completed Projects in its portfolio and may use non-confidential photographs, video or general Project information for its website, social media and promotional materials, provided that applicable intellectual property, confidentiality and privacy rights are respected.

Where a Project is confidential or subject to an embargo, the Client must inform STRUCTR. accordingly.

22. Termination

Either party may terminate an agreement where the other party materially breaches its obligations and, where the breach can reasonably be remedied, fails to remedy it within a reasonable period after written notice.

STRUCTR. may suspend or terminate Services where continuing the Project would be unlawful or create an unacceptable safety risk.

Amounts relating to Services already performed and costs already committed remain payable.

23. Governing law

All agreements with STRUCTR. are governed by Dutch law.

The parties will first attempt to resolve disputes through consultation. If a dispute cannot be resolved, it will be submitted to the competent court in the Netherlands, subject to mandatory rules concerning jurisdiction.

24. Changes

STRUCTR. may update these Terms & Conditions from time to time.

The version applicable to an agreement is the version made available to the Client when that agreement was entered into, unless otherwise agreed.

25. Contact

Questions about these Terms & Conditions can be sent to STRUCTR. through the contact details published on this website.
